Terms of Service
Last updated: October 17, 2026
1. Who these terms apply to
These terms apply to anyone who visits arzana.com or uses the Arzana services. If your company has signed an Order Form with Arzana, Inc. (“Arzana”), that Order Form and the Arzana Standard Terms and Conditions it incorporates are your agreement with us, and they control wherever they differ from these terms. If you use the services for a company, you confirm you are authorized to accept these terms on its behalf.
2. The services
Arzana builds AI agents for manufacturers and distributors that handle work such as quoting, order entry, scheduling, customer service, accounts payable and receivable, and prospecting. Each customer’s agents are configured for that customer, run in a dedicated environment, and work inside the systems the customer already uses. The modules, scope, and timeline for each customer are set out in its Order Form. Customers remain responsible for reviewing and approving what the agents produce before relying on it.
3. Accounts and acceptable use
Keep your sign-in credentials confidential, use multi-factor authentication where your administrator requires it, and tell us right away at security@arzana.com if you suspect unauthorized access. You are responsible for activity under your account. You agree not to:
- Use the website or services for anything unlawful
- Try to reach any part of the services, or any other customer’s data, you are not authorized to reach
- Reverse engineer, decompile, or try to extract the source code, models, or underlying structure of the services
- Resell or sublicense the services, or use them to serve third parties, without our written consent
- Interfere with the operation or security of the services
- Probe, scan, or test the security of the services without our written permission (we welcome responsible disclosure at security@arzana.com)
4. Your data, fees, and intellectual property
Customers own their Customer Data. We use it only to provide the services to that customer, and never to train or inform any model or output used for another customer. Our Privacy Policy and each customer’s agreement describe how we store, protect, export, and delete it.
Fees, billing schedules, and payment terms are set in each customer’s Order Form, and using the website is free.
Arzana owns the services, software, models, and documentation, and all improvements to them; Customer Data is not included in that. A model trained on a customer’s data is used only for that customer, as its agreement describes. These terms grant only the right to use the services as described here and in your agreement. If you send us suggestions, we may use them without any obligation to you.
5. Confidentiality, connected systems, and availability
Each side protects the other’s non-public business, technical, and financial information with reasonable care and uses it only to carry out the agreement; customer agreements set the full confidentiality terms.
The services connect to email, ERP, and other systems a customer chooses, and each customer decides how much access to grant. We are not responsible for the availability or conduct of third-party systems. Service levels and support terms for customers are set in their agreement, and current support options are at arzana.com/support.
6. Disclaimers, limitation of liability, and indemnification
Except as stated in a customer’s signed agreement, the website and services are provided “as is,” and Arzana disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted or error free, or that they will produce any particular result.
To the fullest extent the law allows, Arzana is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business. Our total liability for all claims is limited to the fees you paid Arzana in the 12 months before the event that gave rise to the claim. A customer’s agreement may set different limits, and those control.
You agree to defend and hold Arzana harmless from third-party claims that arise from your misuse of the website or services, or your violation of these terms or the law. Indemnities between Arzana and its customers are set in their agreements.
7. Termination and export controls
We may suspend or end access for anyone who breaches these terms or puts the services or other customers at risk. A customer’s subscription ends as its agreement provides, and the customer then has 90 days to request a full export of its Customer Data.
You may not export or re-export the services in violation of U.S. export laws, including those administered by the Department of Commerce and the Treasury Department’s Office of Foreign Assets Control. The software and documentation are commercial computer software and commercial computer software documentation as defined in FAR 2.101 and DFARS 252.227-7014.
8. Governing law, disputes, changes, and contact
These terms are governed by the laws of the State of Iowa, without regard to conflict of laws rules, to match the Arzana Standard Terms and Conditions. Before any claim is filed, both sides will try to settle the dispute through mediation under the American Arbitration Association. If it is not settled within 60 days, it goes to binding arbitration under the Association’s commercial rules in Chicago, Illinois.
We may update these terms by posting a new version here with a new date, and continued use of the website after an update means you accept it. Changes to a customer’s agreement require that customer’s signature.
