Terms of Service

1. Agreement to Terms

By accessing or using the Arzana platform, website (arzana.dev), or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Arzana provides AI-powered office automation tools for manufacturers and distributors, including but not limited to quoting, order entry, purchasing, CRM, prospecting, outreach, accounts payable, accounts receivable, and customer service automation (the “Arsenal”). The Services may also include a fully integrated Office Execution System.

3. Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information, and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

4. Subscription and Payment

• Arsenal tools are priced individually, starting at $2,500/month per tool. The full Arsenal platform is priced on a custom basis.
• Payment is due monthly in advance unless otherwise agreed in a signed subscription agreement.
• All fees are non-refundable except under the 90-day proof-of-value guarantee described below.

5. 90-Day Proof-of-Value Guarantee

If within the first 90 days of deployment you determine that the Services are not delivering measurable value to your operation, you may terminate your subscription and receive a full refund of fees paid during that period. This guarantee applies to initial deployments only and requires written notice to your Arzana account team.

6. Your Data

You retain all ownership rights in the data you provide to or process through the Services (“Your Data”). By using the Services, you grant Arzana a limited license to access, process, and store Your Data solely to provide and improve the Services.

• Your Data is encrypted in transit and at rest.
• Your Data is logically isolated from other customers.
• We may use anonymized, aggregated data to improve our AI models, but we will never expose or share Your Data with other customers.
• Upon termination, you may request an export of Your Data within 30 days.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Services
• Reverse engineer, decompile, or disassemble the Services
• Resell, sublicense, or redistribute the Services without written consent
• Interfere with the operation or security of the Services

8. Intellectual Property

The Services, including all software, AI models, designs, and documentation, are owned by Arzana, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to Arzana's intellectual property except the limited right to use the Services as described herein. Custom configurations and workflows built for your operation remain accessible to you but the underlying technology is owned by Arzana.

9. Service Availability

We target 99.9% uptime for the platform. We will provide reasonable advance notice of scheduled maintenance. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, Arzana's total liability for any claims arising from or related to the Services shall not exceed the total fees you paid to Arzana in the twelve (12) months preceding the claim. In no event shall Arzana be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

11. Indemnification

You agree to indemnify and hold Arzana harmless from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the subscription with 30 days written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases and you may request an export of Your Data within 30 days.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
